Young Broadcasting Announces Sale of Senior Notes and Senior Subordinated Notes

NEW YORK--(BUSINESS WIRE)--Dec. 24, 2003--YOUNG BROADCASTING INC. ("YBI") (Nasdaq: YBTVA) announced today that it has sold $90 million of 8-1/2% senior notes due 2008 in a private placement. The net proceeds from the senior note private placement will be used to redeem all of YBI's outstanding 9% senior subordinated notes due 2006. YBI also announced today that it has sold $140 million of 8-3/4% senior notes due 2014 in a private placement. The net proceeds from the senior subordinated note private placement will be used to redeem all of YBI's outstanding 8-3/4% senior subordinated notes due 2007.

The senior notes and the senior subordinated notes were offered to qualified institutional buyers under Rule 144A and to persons outside the United States under Regulation S. The senior notes and the senior subordinated notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
